End-User License Agreement

1. Introduction
This End-User License Agreement ("Agreement", "EULA") is a legal contract between you ("User", "you") and ZPOOL FZCO ("Company", "we", "our", "us") governing your use of the AIVI application, including all related features, integrations, and services ("AIVI" or "Application").
By installing, accessing, or using AIVI, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install, access, or use AIVI.
2. License Grant
- We grant you a limited, non-exclusive, non-transferable, revocable license to use AIVI solely for personal purposes and in accordance with this EULA.
- You may not resell, sublicense, modify, reverse engineer, decompile, or disassemble the Application, except as permitted by applicable law.
3. Eligibility & Registration
- AIVI is available via the iOS App Store, Google Play, and potentially other official or third-party marketplaces that support mobile or web-app distribution.

Registration is performed via:
- Your device's operating system account (Apple ID / Google account), which may provide your name, email (unique identifier), date of birth, language preferences, and other UI settings.
- If OS-level authentication is unavailable: classic sign-up with email, name, and optional biometric personalization data.
- Users must maintain access to their registered email to manage, update, or delete their account.
- Multi-factor authentication may include device biometrics (Face ID, Touch ID, fingerprint) or PIN codes. These may be required upon opening the Application in future updates.
4. Integrations & Third-Party Services
- AIVI integrates with supported third-party services (e.g., WhatsApp, Telegram, Google Calendar) using official APIs where available.
- Where official integration is unavailable, AIVI may create a secure, isolated web environment for each user on our servers to authorize and transfer data from the third-party application to AIVI.
- Integration confirmation may require actions in both the third-party service and in AIVI.
- AIVI may access both historical and new messages for personalization and assistance features.
- Third-party services have their own terms and policies. We are not responsible for their changes, outages, or limitations.
5. Data Processing & Storage
5.1 Types of Data
- Analyzed automatically: text messages, voice messages
- Analyzed on demand: documents, and other attachments.
- Locally stored on your device: chat history, message drafts.
- Stored on our servers: tasks, calendar events, notes, and training-derived metadata.
5.2 Retention
- Training metadata is retained for the lifetime of your account and deleted upon account deletion.
5.3 Processing
- Messages may be transmitted to our servers for processing only, not for storage.
- We may use vetted third-party providers (e.g., AI processing companies) for data processing.
- All data shared with third parties is de-identified and cannot be linked to an individual user.
- We require such providers to guarantee that they will not use the data for any purpose beyond processing.
6. Functions & Limitations
- AIVI does not send messages on your behalf without your explicit action.
- Available functionality and usage limits depend on the selected subscription tier.
- If third-party APIs are unavailable, AIVI may display a notice; such outages are not considered defects or limitations of AIVI.
7. Billing & Subscription
- Auto-renewing subscriptions may be billed weekly, monthly, quarterly, or annually, depending on your selection.
- Subscriptions are activated by you in the Application.
- If payment fails, you will be notified and warned about potential access restrictions.
- No refunds are provided, as full functionality is available for evaluation prior to subscription activation.
8. Acceptable Use & Prohibited Conduct
You agree not to:
- Use AIVI for spam, fraud, harassment, illegal activities, or infringement of any third-party rights.
- Circumvent technical restrictions, perform reverse engineering, or gain unauthorized access to any part of AIVI.
- Use AIVI to automate unsolicited bulk messaging or exploit vulnerabilities.
- Share your account or allow others to use it without authorization.
- Use AIVI in jurisdictions or contexts that violate applicable laws or third-party service terms.
9. Disclaimers & Limitation of Liability
- AIVI is provided "as is" without warranties of any kind, express or implied.
- We are not liable for interruptions, delays, or failures caused by third-party services or force majeure events.
- To the extent permitted by law, our liability is limited to the amount you paid for your most recent subscription period.
10. Termination
- We may suspend or terminate your account if you violate this EULA.
- You may terminate your account at any time via account deletion settings.
11. Governing Law & Dispute Resolution
- This Agreement is governed by the laws of the United Arab Emirates.
- Disputes shall be resolved through arbitration in Dubai, UAE, in English.
12. Changes to this Agreement
We may update this EULA from time to time. Continued use of AIVI after changes take effect constitutes acceptance of the updated Agreement.
